William “Bill” Peffer is a member in the Business and Corporate practice group. Bill has worked with companies of all sizes on a wide range of business matters, including entity formation, fundraising, corporate finance, mergers and acquisitions, licensing, and real estate.

He works with all types of businesses and, in particular, companies in: real estate, craft brewing, commercial banking, telecommunications, and agribusiness.

Experience

MERGERS & ACQUISITIONS

  • Assisted companies in mergers, acquisitions, and disposition transactions, including stock purchases, asset purchases, purchases of public companies, and start-up acquisitions ranging in value from $500,000 to $500 million.
  • Represented Italian heavy equipment manufacturer in connection with a reverse triangular merger with a foreign competitor.

 

CORPORATE FINANCE & LENDING

  • Represented medical software provider in connection with the creation of a $400 million senior secured credit facility and refinance of existing debt.
  • Represented local, regional, and national banks in connection with structuring and negotiating credit facilities of all sizes for real estate and construction lending, commercial and industrial lending, acquisition lending, and equipment finance.

 

REAL ESTATE

  • Assisted multiple real estate developers in connection with predevelopment planning, property acquisition, equity financing, and leasing matters regarding office and multi-family development projects.
  • Represented Colorado-based energy exploration and production companies in connection with acquisitions, leases, easements, financing, and regulatory compliance matters.
