Joanne Norris’ practice focuses on matters related to commercial transactions, corporate compliance and governance, hospitality, mergers and acquisitions, and corporate and transactional law. Joanne is also a member of the firm’s Executive Committee.

Experience

  • Representation of clients in many industries, including the restaurant industry, the telecommunications industry (cable television, internet access, collocation and managed services, satellite technology, and other media businesses) and local real estate development.
  • Formation and maintenance of joint venture relationships in Japan, including negotiating and drafting the relevant investor agreements on behalf of U.S. public investor.
  • $10 million investment in Chinese start-up company involved in internet business.
  • International restaurant franchising agreements.
  • Formation and structuring of real estate development partnerships and limited liability companies, including negotiating and drafting the relevant partnership and limited liability company agreements on behalf of the general partner and forming related entities, including employee-owned entities that invest in the development entities.
  • Formation of joint ventures involved in restaurant operations.
  • $80 million investment in private equity fund.
  • Disposition of $40 million controlling shareholder block in public company.
  • Partner and shareholder buyout transactions.
  • Restructuring assets of public company in connection with spin-off from parent.
  • $100 million acquisition of company involved in operation of datacenters and related provision of collocation services.
  • Significant equipment purchase agreements with respect to multiple computer systems and software to transport and distribute media content via satellite or digital transport system and with respect to digital terminals and head-end equipment for cable systems nationwide.
  • Service agreements with respect to the provision by a national media company and a national cable television company to multiple system operators of downlink, compression, uplink, conditional access and other technical services, facilities and equipment to support transmission services.
  • Long-term leases with respect to transponder capacity on behalf of lessees.
  • Fiber optic capacity leases.
