Harsha Sekar represents underwriters, banks, issuers, borrowers, and other transaction participants in complex municipal securities offerings. He is particularly adept in serving as disclosure counsel, underwriter’s counsel, and bond counsel in high-risk transactions, that have raised more than $350 million in capital for Colorado municipalities. Harsha also maintains an active municipal markets regulatory practice and frequently counsels clients on regulatory matters.

Harsha has worked with a broad range of issuers, including special districts, cities, towns, counties, conduit issuers, and private entities. He has handled transactions that encompass a variety of revenues and credits, including general obligations and limited property tax general obligation issuances, specific ownership taxes, various types of capital fees, tax increment, intergovernmental revenue-sharing arrangements, payment in lieu of tax covenants, and public improvement fee covenants, among many others.

Active in the securities industry for a number of years, Harsha has extensive relationships within the investment banking and regulatory communities. He was formerly a vice president at a major investment bank, during which time he served on the Municipal Legal Advisory Committee of the Securities Industry and Financial Markets Association (SIFMA). He began his career at the Financial Industry Regulatory Authority (FINRA), where he played a leading role in the investigations of several broker-dealers that reflected a high regulatory risk, including a major enforcement action against a municipal bond underwriter that was ultimately barred from the financial industry.

Harsha supports a number of Denver-area nonprofit organizations and has served on multiple boards.

  • Served as disclosure and underwriter’s counsel in four transactions to finance residential, commercial, and hotel development along Denver’s Pena Boulevard airport corridor that have raised a total exceeding $150 million in capital
  • Served as bond counsel in three conduit financings for separate multifamily housing projects that raised more than $50 million
  • Served as disclosure counsel on a taxable private activity bond offering to fund an environmental technology company
  • Served as underwriter’s counsel in a major syndicated financing that restructured outstanding debt and funded improvements to one of the nation’s busiest airports
  • Served as bond counsel in a conduit financing that raised over $5 million for a Colorado not-for-profit organization
  • Served as disclosure and underwriter’s counsel in four transactions in the Fort Collins and Greeley metropolitan areas that together raised more than $20 million for planned residential and commercial development
  • Served as disclosure and underwriter’s counsel on three transactions in the Colorado Springs metropolitan area that financed the development of a master-planned residential community and raised more than $40 million



  • Advised a broker-dealer on the regulatory implications of the private placement of municipal securities with nonbank purchasers under MSRB Rule G-34
  • Advised an investment bank on selective disclosure issues during the marketing of a municipal bond offering
  • Assisted with the formation of a presale agreement in connection with a private sale of municipal securities
  • Advised on the obligations of municipal underwriters relating to continuing disclosure agreements that were entered into voluntarily
