A highly skilled corporate and transactional lawyer, Elaine Nolen advises companies of all sizes on a wide range of business matters, including entity formation, corporate finance, mergers and acquisitions, restructuring, divestiture, post-M&A integration, governance, compliance, and real estate issues.

She guides clients through due diligence investigations, represents them in complex multimillion-dollar transactions, and is experienced in handling both buy-side and sell-side representation of private equity clients. Counseling clients across a wide range of industries, including advising on formation, operation, and both public and private financing of airline fuel consortia located at airports throughout the United States.

Elaine also focuses on representing nonprofit organizations. Having spent six years in the nonprofit sector overseeing grant administration and direct services, Elaine brings firsthand knowledge and an insider’s perspective, leveraging her experience to advise on matters unique to the charitable sector. She regularly offers nonprofits guidance on formation and structuring, general governance, operations and policy development, documentation, joint ventures and affiliations, current and deferred giving, the private foundation rules, and obtaining, maintaining and reinstating tax-exempt status. Elaine is also experienced in advising healthcare organizations and educational institutions on complex partnership and affiliation arrangements.

  • Represented the owners of a large Colorado franchisor in the sale of their ownership interests and franchise rights to a private equity firm specializing in the franchise space.
  • Advised a publicly-traded media, entertainment, and communications company on complex divestiture and reorganization transaction.
  • Provided guidance on the multimillion-dollar issuance of tax-exempt bonds to finance airport fuel system construction.
  • Assisted healthcare nonprofit in structuring and forming a supporting organization in furtherance of operational efficiency and financial stability.
  • Advised an international nonprofit on regulatory compliance and management of investment funds in order to develop a course of action to achieve sustainability of donor-directed endowments.
