Mike Dubetz provides both domestic and international tax advice to individuals and companies of all sizes regarding federal and state income tax issues, including advice concerning mergers and acquisitions, complex partnership transactions, and transactions involving financial instruments. He serves as Colorado state and local sales and use tax counsel to a number of companies, and has provided counsel to clients regarding state transfer and income tax compliance with respect to operations in more than thirty states. Mike also provides advice to tax-exempt organizations of all varieties, including both private foundations and public charities.

He regularly represents clients facing audits and in administrative proceedings before the Internal Revenue Service (IRS) and the Colorado Department of Revenue. Mike has successfully litigated and settled many cases in the U.S. Tax Court and has appeared before the United States Supreme Court.

Experience

  • Assisted in structuring the tax-free acquisition of a telecommunications company with a net asset value of more than $3 billion.
  • Regularly assists large publicly-traded corporations in monitoring “ownership changes” in connection with maximizing the value of net operating losses.
  • Represented a major United States city before the Internal Revenue Service in connection with employment tax issues involving more than 30,000 of its employees and independent contractors.
  • Provided tax and corporate structuring advice in connection with the formation and operation of several hedge funds and private equity funds, managing in the aggregate more than $1 billion of assets.
  • Assisted a local university with the tax-efficient acquisition of the assets of several other organizations.
  • Provided advice to a large hotel organization involving the tax-free spinoff of several of its subsidiaries.
  • Successfully represented a Section 501(c)(6) organization before the United States Tax Court in a case involving the application of the unrelated business income tax to the organization’s operations.
  • Appeared before the United States Supreme Court in connection with a case involving IRS asset attachment powers.
